A pass-through corporation elected under Subchapter S that flows income through to shareholders.

Definition

S corporations avoid corporate-level tax by passing income through to shareholders pro rata via Schedule K-1. Eligibility requires 100 or fewer U.S.-citizen or resident-individual shareholders, one class of stock, and a timely Form 2553 election.
