Definition

Pro forma Form 1120 is procedural rather than elective in the foreign-owned disregarded-entity context. The form often exists mainly as the attachment vehicle for Form 5472, which is why many founders misunderstand it as a choice to become a full U.S. corporation for tax purposes.

Examples

  • A foreign-owned U.S. disregarded entity can need a pro forma Form 1120 solely to file Form 5472.
  • The attachment workflow is different from preparing a full corporate-return package for a domestic corporation.
